Devin Cohen is a Shareholder in the New Jersey office of Orloff, Lowenbach, Stifelman & Siegel, where he concentrates his practice on business and commercial real estate transactions, advising clients regarding a comprehensive spectrum of corporate and commercial real estate activity.
His expertise includes all aspects of the purchase, sale, leasing and financing of commercial real estate, including preparing and negotiating purchase and sale agreements; retail, office and warehouse leases with major national tenants; shareholder/operating agreements among real estate joint venture partners; buy/sell agreements; and helping real estate developers secure construction and permanent financing from both institutional lenders and private equity.
Devin also has extensive experience representing buyers and sellers of businesses across multiple industries (mergers and acquisitions); corporate financing (both from financial institutions and private equity); drafting and negotiating custom business contracts; and general corporate counsel.
A graduate of SUNY Binghamton in 2001, Devin received his J.D. from American University – Washington College of Law in 2006. Prior to joining OLSS, Devin was associated with a commercial real estate and corporate boutique law firm in Bergen County, where he received “Big Law” training in a small firm setting.
Devin is rated AV Preeminent by Martindale-Hubbell and has been recognized for years on Super lawyer’s list of New Jersey Rising Stars. He is married with three children and lives in Teaneck, New Jersey.
- Represented major real estate developer in connection with joint venture arrangements and construction lending for a new 375,000 square foot office and innovation hub in downtown Morristown that includes two office buildings and public green space
- Negotiated leases on behalf of landlords for major national and regional retail tenants, including Macy’s, Aldi’s, Chick-fil-a, Marshall’s/TJ Maxx and Total Wine & Spirits
- Counseled Richards Manufacturing, a premier manufacturer of overhead and underground electrical and natural gas distribution products, in a strategic investment by funds managed by Oaktree Capital Management, L.P. (transaction terms not disclosed)
- Represented Nestle Waters North America in connection with numerous purchases and sales of home and office water delivery businesses
- Advised Bain Capital in connection with purchase of leading producer of specialty cosmetic products by its portfolio company, WWP (transaction terms not disclosed)
The Real Estate Group provides counsel on the full spectrum of real estate transactions, related environmental concerns and land use matters. We represent owners, operators, developers, investors and major tenants in real estate assignments that range from acquisition and development through financing and lease-up to syndication, securitization and ultimate disposition. Projects we handle are as diverse as apartment complexes, single-family and condominium housing developments, office buildings, recreational facilities, shopping centers, industrial facilities and raw land.
Our real estate lawyers work with regional and national developers, and provide these clients with transactional, due diligence and advisory services. Our development work includes counseling on land acquisition, entity selection and formation, tax strategies, redevelopment agreements, easements and condominiums. In addition, our developer clients rely on us to negotiate, document and close mezzanine, construction and permanent real estate loans and related transactions to help meet their business goals.
We also guide clients through the numerous transactional issues that arise in the management of real estate holdings, including leasing, acquiring, selling and financing a range of real estate assets and property portfolios.
