Since 2003, Jason L. Fowell has been leading individuals and companies in real estate acquisitions and dispositions in excess of a billion dollars while managing and advising individual and corporate clients in transactional matters, business operations, and litigation, based upon his extensive legal and business experience, teaching, and writing.
Mr. Fowell has counseled on development of raw land, from financing to closing, reviewing acquisition loans, construction loans, deeds of trust, contracts, and various other financing and loan-related documents, as well as, represented general contractors, subcontractors, and tenants in contract negotiation, filing, foreclosing, and defending mechanics and materialman’s liens and removal of liens.
Mr. Fowell looks at properties and evaluates opportunities and needs for refinancing as well as cash-outs of current properties based upon improved financials and increased appraised values after implementing take-over strategies of recently acquired properties. A constant review of company financials works to comply with debt service coverage requirements and assists in improved marketability of assets.
Mr. Fowell’s understanding of business legal issues is enhanced by his experience as general counsel and in leading the operations of a successful real estate company. As outside counsel and as in-house General Counsel, Mr. Fowell negotiated and managed real estate transactions in excess of $500 million dollars. Mr. Fowell represents individuals in business disputes, leads negotiations, and drafts commercial agreements, including corporate asset purchase agreements, real estate purchase agreements, employment agreements, noncompete agreements, management agreements, partnership agreements, and joint venture agreements. Mr. Fowell has learned how to reach the needs of both the individual client and the corporate client.
Born in Florida and raised in Houston, Texas, Mr. Fowell graduated from The University of Houston with a BBA in Management. After several years in the financial industry, Mr. Fowell attended South Texas College of Law – Houston and graduated in 2003.
Mr. Fowell is licensed to practice law in the State of Texas and before the U.S. Court of Appeals for the Fifth Circuit & U.S. Southern District Court of Texas and is a member of the State Bar of Texas and the Houston Bar Association.
Mr. Fowell had the privilege of teaching trial strategies at South Texas College of Law – Houston, as well as paralegal instruction at Rice University – Glassock School of Continuing Education.
Successful commercial real estate closings require specialized knowledge and significant experience. Mr. Fowell has represented purchasers and sellers in various real estate transactions, from raw land to high-rise luxury condominium towers.
He takes lead on negotiating, drafting, and reviewing lender term letters, letters of intent, purchase and sale agreements, deeds, and other derivative conveyance documents, as well as conducting property due diligence that includes analysis of title commitments and title encumbrances, environmental site assessments, and various third-party service provider contracts that may or may not run with the land.
Jason has represented developers and borrowers in a wide range of complex financial transactions, including mezzanine financing, interest rate SWAP agreements, defeasance payments, and conduit lender loan requirements. This includes negotiating and amending promissory notes, loan/credit agreements, and deeds of trust to ensure the loan fits the borrower’s needs, as well as to ensure the borrower understands the lender’s loan requirements and provisions.
He has also represented clients in leveraged financings to acquire new assets or recapitalize their portfolio. As general counsel for a real estate company and years of outside counsel experience, Jason understands the business operations of his clients, which has given him special insight and knowledge when negotiating with lenders, purchasers and sellers, title companies, insurance companies, third-party vendors, utility providers, and client investor-relations.
Jason can review and assess company financials to ensure compliance with debt service coverage requirements, as well as identifying weaknesses in distressed properties to improve the property’s operations and value.
